  • Single Track License Agreement – “Solid Ground”

    This License Agreement ("Agreement") is made effective upon purchase ("Effective Date") between Aegis Musicworks LLC ("Licensor") and the purchasing party ("Licensee"). By downloading and/or using the single ambient track titled "Solid Ground" ("Licensed Master Track") purchased from Licensor’s website, Licensee agrees to the following terms:

    1. License Grant
    Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the Licensed Master Track as provided upon purchase, subject to the terms herein.

    2. Permitted Uses
    Licensee may:

    • Use the Licensed Master Track to create new recordings ("Derivative Works").

    • Distribute, stream, broadcast, sell, and publicly perform Derivative Works without further royalty payments to Licensor.

    • Use the Licensed Master Track in unlimited commercial or non-commercial projects.

    3. Restrictions
    Licensee may NOT:

    • Redistribute, resell, sublicense, or transfer the Licensed Master Track in its original, isolated form.

    • Claim ownership or authorship of the original Licensed Master Track.

    • Use the Licensed Master Track in a manner that competes directly with Licensor’s sale of the original track.

    4. Ownership and Credit

    • Licensor retains full ownership of the Licensed Master Track, including all rights in the composition and original production.

    • Licensee agrees to credit Licensor (Aegis Musicworks LLC or Evan Zegiel) for production and songwriting credit appropriately on any Derivative Works, e.g., "Produced by Evan Zegiel (Aegis Musicworks LLC)."

    5. Royalties and Payments
    Licensee shall have no obligation to pay Licensor royalties on revenue generated from Derivative Works created from the Licensed Master Track beyond the initial purchase price.

    6. Termination
    This Agreement shall remain effective indefinitely. Licensor reserves the right to terminate this Agreement if Licensee breaches any terms herein, upon which Licensee must cease use of the Licensed Master Track immediately.

    7. Limitation of Liability
    Licensor shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages arising from the Licensee’s use or inability to use the Licensed Master Track.

    8. Indemnification
    Licensee agrees to indemnify and hold Licensor harmless from any claims, damages, liabilities, or expenses arising from Licensee’s use of the Licensed Master Track or breach of this Agreement.

    9. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the State in which Aegis Musicworks LLC is incorporated, without regard to conflict of law principles.

    By completing the purchase and downloading the Licensed Master Track, Licensee acknowledges and agrees to these terms and conditions.
